Associate – Contract Drafting
The Contract Lifecycle Management (CLM) team provides comprehensive support for all types of commercial contracts to the legal and business teams of major multinational corporations (MNCs) and law firms. The Pre-execution division, also known as the Drafting team, functions as an extension of the in-house legal team, assisting with the contracting process from the moment a business requests a contract to the point when the contract is approved and signed. We review and negotiate transactional contracts according to our client’s organizational policies and guidelines, obtain necessary approvals, and finalize the contracts. We handle contracts of all complexities and values, offering services for both bespoke and standardized contracts, including administrative tasks.
The Post-execution division, or Abstraction team, supports transaction due diligence by performing contract abstraction, summarization, and risk analysis. This is essential for clients involved in mergers and acquisitions (M&A), seeking to understand their risk profile, or aiming to improve day-to-day business operations. We collaborate with various client stakeholders and key decision-makers to operationalize legal functions for large MNCs through automation and process engineering.

We engage with clients across various industries and business lines, including direct procurement, indirect procurement, sales, and other related functions.
Your Key Responsibilities
- Conduct initial reviews of contracts, such as Patent License Agreements, IT Procurement Agreements, Web Hosting Agreements, Confidentiality Agreements, Software and Data License Agreements, Non-Disclosure Agreements, Vendor Services Agreements, Master Services Agreements, Statements of Work, Purchase and License Agreements, Sponsor Research Agreements, Inter-Institutional Agreements, Supply and Distribution Agreements, Staffing, Consulting and Teaming Agreements, Lease Agreements, Estoppels, SNDAs, and other commercial contracts.
- Assist senior team members in negotiating contracts for clients in sectors such as Banking, Telecom, Healthcare, Aerospace, Heavy Industries, Manufacturing, Finance, Human Resource Solutions, IT Services, Universities, Film Production, Global Web Hosting, Power Management, and more.
- Contribute to the development of project playbooks and other knowledge tools to meet client expectations successfully.
- Draft responses to party positions, ensuring alignment with client specifications and effectively representing client requirements in agreements, subject to senior review.
- Join senior members on client/customer negotiation calls and prepare detailed call notes.
- Collaborate with a team of lawyers within the organization as well as clients' legal representatives and business teams on projects involving the aforementioned agreements.
- Provide professional, timely, and prompt service and responses to Delivery Managers to support client contacts and the sales team.
- Actively participate in both mandatory and optional training and certification courses.
- Adhere to client deliverable deadlines without delays and renegotiate deadlines well in advance if necessary; escalate client issues promptly and appropriately; consistently complete real-time client call notes.
- As associates, understand basic contractual and legal concepts, interpret and review contracts, and possess strong verbal and written communication skills. Associates typically handle the first stage of the contract review process.

You Must Have
- Bachelor’s/Master’s degree and Law degree (LLB or LLM) from accredited, reputable institutions.
- Attorney with 0-2 years of relevant contract review, redlining, and negotiation experience (preferably in a multinational corporation, in-house legal team, or law firm handling similar work).
You’ll Also Have
- Familiarity with Contract Lifecycle Management technology, which is desirable but not essential.
